Terms of Service

These Terms of Use (hereinafter 'Terms') govern access to and use of the Syndy platform (accessible at syndy.ma), published and operated by 3B Ventures SAS, 3B Ventures SAS, a Simplified Joint Stock Company (Société par Actions Simplifiée) with a share capital of MAD 30,000, registered with the Commercial Registry of Casablanca, with its registered office at 3rd Floor, Apt 11, Lusitania, Corner Rue D'Alger and 2 Rue Abou Bakr Al Baklani, Casablanca 20070, Morocco (hereinafter '3B Ventures' or 'the Publisher').

1. Acceptance of ToS

Access, registration or use of the Syndy site or application implies full and unreserved acceptance of these ToS by the User. If you do not accept these conditions, you must not use the platform.

2. Definitions

In these Terms, the following terms shall have the meanings set out below:

  • Platform: Refers to the syndy.ma website, the mobile application and all digital services offered by 3B Ventures SAS under the Syndy brand.
  • Publisher: Refers to 3B Ventures SAS, the company that publishes and operates the Platform.
  • User: Refers to any natural or legal person accessing the Platform and using the Services.
  • Services: Refers to all features made available through the Platform.
  • Content: Refers to all text, data, documents, images and information published on the Platform.
  • Personal Data: Refers to any information relating to an identified or identifiable natural person, within the meaning of Law No. 09-08.

2. Users

The platform is intended for different types of users:

  • Property Manager: Refers to the professional user (individual or legal entity) who subscribes to manage one or more properties via the platform.
  • Co-owner: Refers to the resident or owner of a unit who has access to a personal space, usually upon invitation from the Property Manager.

3. Access to services

Full access to Syndy features requires:

  • Creating a user account with valid information.
  • For Property Managers, subscribing to a valid subscription.
  • Unequivocal acceptance of these ToS and our Privacy Policy.

4. Account security

The User is solely responsible for the security of their credentials (email and password). They commit to:

  • Keep their credentials strictly confidential and not share them with third parties.
  • Immediately report to Syndy any unauthorized use of their account or any suspected security breach.

5. User commitments

Each user commits to:

  • Use the platform in accordance with its intended purpose and not to harm its proper functioning.
  • Provide accurate and up-to-date personal and professional information.
  • Comply with all applicable Moroccan laws and regulations.
  • Not attempt to circumvent access permissions or subscription plan limitations.
  • For Property Managers: ensure the lawfulness of the data they import or enter on the platform, including co-owners' personal data (email addresses, phone numbers, etc.). The Property Manager is solely responsible for obtaining the necessary consent from the relevant co-owners.

6. Main features

Syndy provides its users with a suite of tools for property management, including:

  • Management of properties, units and co-owners.
  • Automated accounting (expenses, receipts).
  • Generation of fund calls, payment tracking and reminder management.
  • Incident tracking and management.
  • Organization of general meetings.
  • Use of artificial intelligence for invoice data extraction and summary generation.
  • Co-owner portal availability.
  • Real-time notifications.
  • Data exports in PDF and Excel formats.

8. Subscription & Payment

The Platform offers different subscription plans:

  • Free Plan: Limited access to 1 co-ownership and a maximum of 10 units. Free forever, no commitment.
  • Paid Plans: Paid plans (Essential, Pro) offer advanced features and extended limits. Pricing is indicated on the Platform's Pricing page.
  • Paid subscriptions are entered into for a fixed period and automatically renewed, unless cancelled by the User before the renewal date.
  • 3B Ventures SAS reserves the right to modify prices at any time. Any modification will be communicated to the User at least 30 days before taking effect.
  • Prices are indicated in Moroccan Dirhams (MAD), all taxes included.

9. Intellectual Property

The Platform, its content (text, graphics, logos, icons, images, source code, databases, features), its trade name 'Syndy' and all related intellectual property rights are the exclusive property of 3B Ventures SAS.

Any reproduction, representation, modification, distribution, publication, adaptation, extraction or reuse of all or part of the Platform elements, by any means whatsoever, without prior written authorization from 3B Ventures SAS, is strictly prohibited and constitutes infringement punishable under Law No. 2-00 on copyright and related rights.

The User retains ownership of the data and content entered on the Platform. By using the Services, the User grants 3B Ventures SAS a limited, non-exclusive and revocable license to use such content solely for the purpose of providing the Services.

7. Liability limitations

Syndy is a management assistance software tool and cannot substitute for the professional judgment of a Property Manager or qualified legal or accounting advice. The Publisher does not intervene in the effective management of the condominium and cannot be held responsible for decisions made by the General Assembly or management errors by the Property Manager. Accordingly, 3B Ventures SAS shall not be held liable for:

  • Errors, omissions or inaccurate data entered by users into the platform.
  • Misinterpretation or misuse of generated accounting and financial reports.
  • Service interruptions due to maintenance, updates, or force majeure events.
  • Results produced by the artificial intelligence integrated into the platform. The user is required to verify and validate any automatically extracted data before confirming it. In the event of a reading or extraction error by the AI, responsibility for the final input lies exclusively with the user.

11. Force Majeure

3B Ventures SAS shall not be held liable for any failure or delay in performance of its obligations in the event of force majeure as defined by Moroccan case law, including but not limited to: natural disasters, pandemics, wars, general strikes, telecommunications or power network failures, large-scale cyber attacks, governmental or regulatory decisions preventing service delivery.

8. Account suspension

3B Ventures SAS reserves the right to temporarily or permanently suspend access to a user account, without prior notice or compensation, in the following cases:

  • Non-payment of subscription after reminder periods.
  • Fraudulent, abusive or malicious use of the platform.
  • Serious or repeated violation of these ToS.

9. Personal data

The collection and processing of users' personal data is governed by Law No. 09-08 on the protection of individuals with regard to the processing of personal data, and by our Privacy Policy, which is an integral part of these ToS.

3B Ventures SAS carries out declaration procedures with the CNDP (National Commission for the Control of Personal Data Protection).

10. Electronic Signature and Proof

In accordance with Law 53-05 on electronic data exchange, the User acknowledges that documents generated by Syndy and bearing the platform's digital seal (Syndy Integrity Seal) constitute written evidence equivalent to paper documents. The QR Code verification system constitutes proof of the document's integrity and the issuer's identity. The SHA-256 digital fingerprint guarantees that the document has not been altered since its generation. In case of discrepancy between a printed version and the original version, the version stored on Syndy servers prevails.

15. Modifications to Terms

3B Ventures SAS reserves the right to modify these Terms at any time. Modifications take effect upon publication on the Platform. The User will be notified by in-app notification or email. Continued use of the Platform after publication of the new Terms constitutes acceptance thereof.

11. Applicable law and jurisdiction

These Terms are governed by and interpreted in accordance with Moroccan law, including Law No. 31-08 on consumer protection measures, Law No. 53-05 on electronic data exchange, and Law No. 09-08 on personal data protection. In the event of a dispute, and after an amicable resolution attempt within 30 days, exclusive jurisdiction is granted to the competent courts of Casablanca.
